Does upgrading to newer version of Android upgrades the UI as well?

for example: if I upgrade my HTC having Gingerbread to ICS, will the sense be upgraded too? (from 3.0 to 4.0)?

Not necessarily. It depends on the phone. For example the HTC sensation ICS only gets sense 3.6
